13F filings and institutional holdings

Form 13F is a quarterly SEC report that shows the US-listed long positions of institutional investment managers with at least 100 million dollars under investment discretion. It is a delayed holdings snapshot, not a live portfolio.

Managers generally file within 45 days after each calendar quarter ends, with the deadline moved to the next business day when required.

What is a 13F filing?

A quarterly holdings report

Form 13F is the quarterly SEC report for institutional investment managers that exercise investment discretion over at least 100 million dollars in Section 13(f) securities. Investor.gov Form 13F explanation.

Who files

Investment advisers, banks, insurance companies, broker-dealers, pension funds, corporations, and some natural persons can be institutional investment managers. A manager that meets the threshold on the last trading day of any month in a calendar year has the filing obligation described by the SEC.

What is reported

The information table identifies eligible securities, security class, CUSIP, shares or principal amount, fair market value at quarter end, investment discretion, other managers, and voting authority. It is a dated long-position disclosure, not a live portfolio.

What is omitted

Short positions are not reported or netted against longs. Securities outside the SEC's official 13(f) list, most non-US-listed securities, some de minimis positions, and holdings granted confidential treatment can also be absent from the public table. SEC Form 13F FAQ.

Report period and filing date

The report period is the calendar quarter end and tells you when the holdings snapshot was measured. The filing date and SEC acceptance timestamp tell you when that older snapshot became public. The filing is due within 45 days after quarter end, with the deadline moved to the next business day when required.

Amendments

A 13F-HR/A can restate a prior report or add holdings omitted from the original public filing. Amendments may arrive after the regular deadline, so WhoBought labels and hatches them instead of blending them into original filings.

Who has to file a 13F?
